Licensing and Transactions
The Firm has extensive experience representing clients in intellectual property related transactions. As an example, the Firm has been involved in many of the following types of transactions: mergers, acquisitions, joint ventures, cooperative research and development agreements, consulting and employment agreements, confidential disclosure agreements and licenses. The Firm also has considerable experience with respect to opinion work in support of those transactions.
When a client seeks to either merge with or acquire another entity, intellectual property rights often are of paramount importance. We are frequently asked to analyze and assist in valuation of the intellectual property assets of the entity, as well as determine whether the entity infringes on intellectual property owned by competitors. Because no client wants to “buy a lawsuit,” our clients highly value our ability to determine quickly and efficiently whether the products of the entity sought to be acquired infringe upon IP assets owned by third parties.
Clients who desire to maximize the value of their intellectual property assets or acquire rights to IP owned by others frequently turn to us for guidance. We have comprehensive experience in the licensing of all types of technology ranging from real-time operating system software to new drugs and biotechnology related inventions. The Firm helps clients negotiate and form strategic alliances, as well as create and draft agreements, including:
- patent, trade-secret and know-how licenses,
- trademark licenses,
- software copyright licenses,
- distribution agreements,
- joint research agreements,
- technology transfer agreements
